Terms of Service

These Terms govern access to and use of NexaFlow, a product and business division operated by Wilsons Technologies CC, registration number 2007/105776/23 (“NexaFlow”, “we”, “us”). By accessing or using NexaFlow, you agree to these Terms. If you use NexaFlow for an organisation, you confirm that you are authorised to bind that organisation.
1. The service
NexaFlow provides business operations tools that may include point-of-sale, order, customer-account, stock, reporting, staff-management and related functions. Features may change as the service develops. Specific commercial arrangements may be set out in a separate written agreement; that agreement prevails if it conflicts with these Terms.
2. Accounts and authorised use
You must provide accurate information, keep access codes and devices secure, and ensure that only authorised people use the service. You are responsible for activity under your access and for configuring staff roles appropriately. Tell us promptly if credentials or a device may have been compromised.
3. Acceptable use
You may not misuse NexaFlow, interfere with its operation, bypass access controls, introduce malicious code, probe for vulnerabilities without written permission, copy or reverse-engineer protected parts except where law permits, infringe another person’s rights, or use the service for unlawful, fraudulent or harmful activity.
4. Business records and user content
You retain responsibility for information entered into NexaFlow, including its accuracy, lawfulness and required notices or permissions. You grant us the limited rights needed to host, process, transmit and back up that information to provide the service. NexaFlow is an operational aid; you remain responsible for verifying prices, taxes, stock, invoices, reports, payments and regulatory records before relying on them.
5. Fees and third-party charges
Any applicable subscription, setup or service fees must be shown before purchase. NexaCredit purchases and AI usage are also governed by the NexaCredits Terms and Fair-Use Policy. Network, device, payment-provider, messaging and other third-party charges are your responsibility unless agreed otherwise. We do not guarantee income, savings, profit or any particular outcome from using NexaFlow.
6. Availability and changes
We aim to provide a reliable service but do not promise uninterrupted or error-free availability. Maintenance, connectivity, infrastructure events and circumstances outside reasonable control may affect access. We may update, suspend or discontinue features where reasonably necessary and will try to give appropriate notice of material changes.
7. Intellectual property
NexaFlow, its software, branding, designs and documentation belong to Wilsons Technologies CC or its licensors and are protected by law. These Terms give you a limited, non-exclusive, non-transferable right to use the service for authorised business purposes; they do not transfer ownership.
8. Privacy
Our Privacy Policy explains how personal information is handled. Each business using NexaFlow is responsible for its own privacy obligations concerning customer and staff information it collects.
9. Suspension and termination
You may stop using the service at any time, subject to any separate commercial agreement. We may restrict or suspend access to protect users or the service, address non-payment, comply with law, or respond to a material breach. On termination, access may end and data will be handled according to applicable retention duties and the Privacy Policy.
10. Disclaimers
To the extent allowed by law, NexaFlow is provided “as is” and “as available”. We do not warrant that every feature will meet every business, accounting, tax or legal requirement. Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded, including applicable consumer rights.
11. Limitation of liability
To the maximum extent permitted by law, Wilsons Technologies CC will not be liable for indirect, incidental, special or consequential loss, loss of profit, revenue, goodwill or data arising from use of the service. Any total liability will be limited to the amount paid for the affected service during the six months preceding the event, unless liability cannot lawfully be limited.
12. Governing law
These Terms are governed by the laws of the Republic of South Africa. The parties will first try in good faith to resolve a dispute informally. Subject to applicable consumer law, South African courts have jurisdiction.

These Terms should be read together with any signed NexaFlow service agreement and the Privacy Policy.
